American Stock Exchange Specialist

The American Stock Exchange
The American Stock Exchange (AMEX) was founded in 1921. The AMEX provides
a centralized market structure with floor trading through Company Specialists.

The Specialist process combines the Auction process - buyers and sellers
of equities posting their offers to buy or sell in the open market place
- with Specialists who represent particular companies and manage the
trading of all shares for that particular company - matching buyers and sellers
and executing that order flow.
That process provides certain advantages and protections that a non-Specialist
trading system does not. Historically, those advantages and protections include:
Narrower Spreads - buyers and sellers can trade directly with each other
resulting in smaller differences between bid and ask prices; Decreased volatility
- specialist purchases and sales made from their proprietary accounts minimize
volatility in the absence of balanced order flow; and, Short selling protection
- the AMEX "uptick rule" prohibits investors from selling a company's stock
short on a down-tick.
Today, the AMEX is the only primary exchange to offer trading in three distinct
areas: a variety of listed equities, an extensive options market and an unrivaled
listing of more than 100 Exchange Traded Funds (ETFs), the securities category
pioneered by the American Stock Exchange.

Listing Standards on The American Stock Exchange
Full criteria are subject to the AMEX Constitution and Rules. These standards
are guidelines for companies seeking to list their companies on the American
Stock Exchange, and additional criteria may apply to specific circumstances.
Companies may qualify for listing on the
American Stock Exchange if they have stockholders' equity of at least $4,000,000
and pre-tax income from continuing operations of at least $750,000 in its
last fiscal year, or in two of its last three fiscal years.
A company may also qualify if they have two years of operations, stockholders'
equity of at least $4,000,000, and an Aggregate Market Value of Publicly
Held Shares of at least $15,000,000.
There are other criteria under which a company may qualify.
There are also criteria under which Closed-End Management Investment Companies,
Options and Electronic Traded Funds may be traded on the American Stock
Exchange.
